Terms of Service

These Terms set the rules for using Yogfile and explain the responsibilities of both you and SYFRAH CONSULTING. They cover the website, applications, HTTP API, MCP connector and related storage and sharing services.

The short version

You own your files. We process them only to provide, secure and lawfully operate the Service. Protect your account number, enable MFA, keep an independent backup, and do not use Yogfile for unlawful or dangerous activity. Public links are sharing links, not a confidentiality control.

01Provider and scope

Yogfile is operated by SYFRAH CONSULTING, a French single-member limited liability company (EURL) with share capital of EUR 100, registered with the Paris Trade and Companies Register under number 953 278 553, with its registered office at 229 rue Saint-Honoré, 75001 Paris, France. The full Legal Notice identifies the operator, publication director and hosting providers. In these Terms, “Yogfile”, “SYFRAH”, “we”, “us” and “our” refer to SYFRAH CONSULTING.

These Terms govern your access to and use of Yogfile, including its websites, native applications, HTTP API, MCP connector, storage, retrieval, preview and sharing features, and related support (the “Service”). The Privacy Notice and the Abuse and Content Notices policy form part of the rules applicable to the Service.

02Eligibility, authority and acceptance

You must be at least 18 years old and legally capable of entering into a contract. If you use the Service for an organization, you confirm that you have authority to bind it. In that case, “you” includes that organization.

By creating an account, expressly accepting these Terms through a Yogfile interface, or continuing to use an existing account after the effective date stated above, you agree to these Terms. If you do not agree, do not create an account and stop using the Service. Mandatory rights that cannot lawfully be waived remain unaffected.

03The Service, plans and technical limits

Yogfile is a model-agnostic drive that lets people and authorized software agents store, organize, retrieve and share files. Compatible clients may use the HTTP API or MCP. A drive is a product-level collection; the underlying storage architecture may change without changing ownership of your files.

Storage, file-size, bandwidth, connection, rate and drive limits are those displayed in the Service or returned by the API for your account at the relevant time. We may enforce those limits and apply proportionate technical measures to prevent abuse, preserve capacity and protect other users. We will not materially reduce a paid entitlement during its committed period except where required by law, security or an event outside our reasonable control.

Unless a separate written service-level agreement says otherwise, the Service includes no guaranteed uptime, response time or recovery time objective.

04Account security, MFA and connected clients

Your 16 digit account number is an authentication credential. Until MFA is enabled, a person who obtains it may be able to access and control the account. You must keep the account number, recovery codes, device credentials and session tokens confidential and promptly revoke any device or session you suspect has been compromised.

Yogfile does not maintain an email-based identity or password-reset channel. If you lose the account number, or lose all available authentication and recovery factors after enabling MFA, we may be unable to verify ownership or restore access. Support will never ask you to disclose your complete account number by email or in a public channel.

You may authorize applications, agents and compatible clients to act on your behalf. Actions performed through valid credentials or a device you authorized will ordinarily be treated as requested by you, subject to evidence of compromise. You are responsible for choosing those clients, configuring their permissions and revoking access when no longer needed. A third-party client has its own terms and privacy practices. We are responsible only to the extent a loss is directly caused by our own breach.

You must not bypass rate limits or technical safeguards, publish session tokens or signed grants, or use credentials outside their intended purpose.

05Your Content and the licence we need

“Your Content” means files, names, folder structures, metadata and other material that you upload or make available through the Service. As between you and SYFRAH, you retain every right you hold in Your Content.

You grant SYFRAH a non-exclusive, worldwide and royalty-free licence, for as long as the relevant content is stored or must lawfully be retained, to host, reproduce, encode, cache, transmit, display and otherwise process it solely as necessary to provide, secure, maintain and moderate the Service, follow your sharing instructions, respond to support requests, and comply with applicable law.

This licence does not permit us to sell Your Content or use it to train a general-purpose artificial intelligence model. It ends when the content is permanently deleted, subject to temporary recovery copies, disaster-recovery snapshots, legal preservation duties and copies lawfully retained by recipients.

You confirm that you have the rights, permissions and lawful basis required to upload, process and share Your Content, including any personal data it contains.

06Public links and shared drives

A public file URL or public drive name is a sharing mechanism, not a confidentiality or access-control guarantee. Anyone who obtains or discovers the URL may access, copy and redistribute the content while it remains available. Expiry, bandwidth and concurrency limits do not prevent a recipient from keeping a copy already downloaded.

By enabling public access, you instruct us to make the relevant content available to people who use the link. Passphrases add a gate but do not provide end-to-end encryption. You are responsible for selecting the appropriate sharing setting and withdrawing access when it is no longer required.

07Sensitive data and independent backups

Unless we expressly agree otherwise in writing, the Service is not designed or certified for classified information, payment-card data subject to PCI DSS, protected health data requiring certified hosting, regulated biometric data, private cryptographic keys, authentication secrets, or information whose loss or disclosure could create a material risk to life, safety or critical infrastructure.

Yogfile uses redundancy, but redundancy is not an independent backup. Keep another copy of content you cannot afford to lose or are legally required to preserve. No storage system can guarantee that data loss will never occur.

08Acceptable use

You must not use the Service to store, transmit, publish, facilitate or promote:

  • content that is unlawful, fraudulent, defamatory, infringing, exploitative or non-consensual;
  • child sexual abuse material or any sexual exploitation of minors;
  • terrorist content, credible threats, incitement to violence, trafficking or unlawful controlled-substance activity;
  • malware, ransomware, phishing, credential theft, unauthorized surveillance or code intended to compromise a person, device or network;
  • personal data that you have no lawful basis or authority to process or disclose; or
  • content that infringes intellectual property, privacy, publicity, confidentiality or other rights.

You must not interfere with the Service, probe or exploit vulnerabilities without prior written authorization, evade limits or moderation measures, automate abusive account creation, impersonate another person, submit knowingly false notices, or materially harm users or infrastructure.

09Content notices, moderation and appeals

We may restrict content, links, features or accounts where reasonably necessary to enforce these Terms, comply with law or a binding order, protect users or infrastructure, investigate abuse, or prevent an imminent security risk. We aim to limit a restriction to what is proportionate to its purpose.

Moderation may use automated signals, including duplicate-resistant report thresholds and content-hash matching. A threshold or match may temporarily restrict the reported file and byte-identical copies. Automated signals do not by themselves establish that content is unlawful. Restrictions may be reviewed, reversed or confirmed.

The information required for a formal notice of allegedly illegal content, the available reporting channel and the appeal process are set out in our Abuse and Content Notices policy. Where required by law and contact is possible, we provide the affected person with a statement of reasons, including the basis for the decision, whether automation was used and the available means of contesting it. We may withhold information where disclosure is prohibited or would create a serious safety or security risk.

10Lifecycle, Trash, deletion and export

Files remain stored until you delete them, until a lifecycle period you selected expires, or until access or retention is restricted under these Terms or applicable law. An item moved to Yogfile Trash is normally recoverable for 30 days. Purging an item ends that recovery period. Deleted data may remain in access-restricted disaster-recovery snapshots for up to seven additional days.

Content-addressed bytes are released when no active or recoverable reference to the same content remains. Public copies made by recipients and records we must preserve by law may remain outside that process.

You may retrieve active content while your account remains accessible and may request account deletion through the contact in section 16. A deletion request may require proof of control through an authenticated session. Do not send the complete account number by email.

11Operation, service changes, suspension and termination

We use reasonable care to operate the Service. Maintenance, incidents, network conditions, abuse prevention, legal requirements and third-party dependencies may cause interruption or reduced performance.

We may modify the Service for a valid operational, legal, capacity, security or abuse prevention reason. Where reasonably possible, we will give advance notice of a material adverse change. An urgent security or legal change may take effect immediately, with notice as soon as reasonably possible.

We may immediately suspend only the content, access or functionality reasonably affected where necessary to comply with law or a binding order, address an urgent threat, prevent material harm, or respond to a serious or repeated breach. For a remediable breach that is not urgent, we will normally provide notice and a reasonable opportunity to cure.

We may discontinue a free plan or the Service for a legitimate operational, legal, security or economic reason. Where lawful and reasonably possible, we will provide at least 30 days' notice and an opportunity to retrieve active content. Immediate action remains possible where continued access would be unlawful or create an urgent risk.

12Yogfile rights, feedback and privacy

The Service, its software, design, documentation, trademarks and other materials supplied by us are owned by SYFRAH or its licensors. These Terms give you a limited, non-exclusive, non-transferable and revocable right to use them for the Service's intended purpose. Open-source components remain governed by their own licences.

If you voluntarily provide feedback, you allow us to use it without payment or obligation, provided we do not identify you publicly without permission. You may not use the Yogfile name or branding in a way that suggests endorsement or partnership.

Our processing of personal data is described in the Privacy Notice. Where a business customer uploads personal data for its own purposes, that customer is responsible for its lawful instructions and may need a separate data processing agreement with SYFRAH.

13Warranties and statutory rights

We provide the Service with reasonable care and skill. Except for rights and warranties that cannot lawfully be excluded, we do not guarantee uninterrupted or error-free operation, permanent availability of a particular feature, or fitness for a purpose you have not disclosed and agreed with us in writing.

Consumers retain all mandatory statutory rights and remedies, including any applicable legal guarantee for digital services. Nothing in these Terms excludes, restricts or replaces a right that applicable law does not permit us to exclude or restrict.

14Liability and business-user indemnity

If you are a consumer, we remain liable in accordance with mandatory consumer law. We are not responsible for loss caused solely by your unlawful conduct, your disclosure of credentials or public links, an unauthorized third-party client, your failure to follow a clear security instruction, or an event legally qualifying as force majeure, except to the extent the loss also results from our breach. We are not liable for business losses where you use the Service solely as a consumer.

If you use the Service for business or professional purposes, then, to the maximum extent permitted by law, neither party is liable for indirect or consequential loss or for loss of profit, revenue, opportunity, anticipated savings or goodwill. SYFRAH's aggregate contractual liability arising from the Service in any rolling 12-month period is limited to the greater of the fees paid or payable for the Service during that period and EUR 100.

No exclusion or limit in these Terms applies to fraud, wilful misconduct, gross negligence, death or personal injury, liability for infringement caused by SYFRAH, breach of an essential obligation to the extent a limit would deprive it of substance, or any liability that cannot lawfully be excluded or limited.

If you use the Service for business or professional purposes, you will indemnify SYFRAH against reasonable losses, liabilities and external legal costs arising from a third-party claim directly caused by Your Content infringing that party's rights, your unlawful use, or your material breach of section 8. This does not apply to the extent we caused the claim. We will give prompt notice, allow reasonable control of the defence, cooperate at your expense, and not accept a settlement imposing an admission or non-monetary obligation on you without your consent. This paragraph does not apply to consumers unless liability exists independently under applicable law.

15Current charges and consumer rights

Yogfile is currently offered without charge and no paid plan can be purchased today. If we introduce paid services, the applicable price, taxes, billing period, renewal, cancellation, withdrawal rights and refund rules will be presented for your express acceptance before any charge. A change to these Terms will never create a payment obligation without that express agreement.

A consumer's rights under mandatory law remain unaffected. Any mandatory pre-contractual information, conformity guarantee and right of withdrawal applicable to a future paid service will be provided before purchase.

16Governing law, disputes and general terms

These Terms are governed by French law. If you are a consumer, this choice does not deprive you of mandatory protections under the law of your country of habitual residence, and you may bring or defend proceedings before any court having jurisdiction under applicable consumer law. Please contact hello@yogfile.com first so we can try to resolve a dispute.

Jurisdiction for merchants only

If both you and SYFRAH contract as merchants for professional purposes, the courts of Paris, France have exclusive jurisdiction, including in multi-party or third-party proceedings.

Neither party is liable for failure or delay caused by an event that qualifies as force majeure under applicable law. The affected party must take reasonable steps to limit its effects and resume performance.

Material changes to these Terms apply prospectively. We will provide reasonable advance notice through the Service where practicable. Security, abuse-prevention or legal changes may take effect sooner. The version and effective date appear at the top of this page.

Subject to applicable evidence rules and your right to provide contrary evidence, electronic records created in the ordinary operation of the Service may be used to establish relevant transactions and events. If a provision is unenforceable, the rest remains effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization or transfer of the Service if your rights are not materially reduced.

Provisions that by their nature should survive termination, including ownership, liability, evidence and disputes, remain effective. These Terms and any expressly incorporated document are the entire agreement about the Service, unless a separate written agreement states otherwise.

A French version of these Terms is available. If the English and French versions differ, the French version prevails, without limiting any mandatory protection applicable to you.
